On November 1, 2010 Sam and Marvin entered

On November 1, 2010 Sam and Marvin entered into a valid written contract for the sale of Blackacre. Upon completion of escrow Marvin failed to tender the agreed price. Marvin contends that Sam does not have legal title to Blackacre. Sam’s claim to have title to Blackacre goes back to March 1, 2001 when Frank the owner of Blackacre, conveyed Blackacre to his three children, "Ann, Bill, and Carl as joint tenants with common law right of survivorship." Ann, who had lived with her father on Blackacre, continued to occupy and farm the land after her father’s death. Bob and Carl, although claiming equal rights to Blackacre, preferred to continue living in the city in which they owned their homes and never lived on Blackacre.

In early January 2001 Ann lost most of her money in the stock market. At the end of 2001, without consulting either Bill or Carl, Ann conveyed by quitclaim deed all of her "right, title and interest in Blackacre to Darrel.” Darrel immediately took possession of Blackacre.

In 2005, Bill died intestate survived by his son Sam, his sole heir, and by Ann, Carl and Darrel.

In 2008, Darrel conveyed Blackacre to “Lilly for life, but if my daughter Alice marries then to her.”
